OVERVIEW
Welcome to Elysium Chems (“Elysium,” “we,” “us,” “our”). We operate this website and store, including related information, content, features, tools, products, and services (the “Services”). The Services are powered by Shopify. These Terms of Service (“Terms”) govern your access to and use of the Services. By visiting, interacting with, or using the Services, you agree to these Terms and to our [Privacy Policy]. If you do not agree, do not use the Services.
1. ELIGIBILITY, ACCESS & ACCOUNTS
1.1 Age/Eligibility. You represent that you are at least 21 years old and are a professional, institutional, or business purchaser procuring materials solely for research or analytical use. The Services are not intended for minors.
1.2 Account Info. You agree to provide accurate, current, and complete information (including institutional or business details where requested) and to keep it updated.
1.3 Security. You are responsible for safeguarding your login credentials and all activity under your account. Do not share or transfer your account.
1.4 Verification. We may require identity, age, or professional verification (e.g., institutional email, business documentation, government-issued ID, purchase purpose) and may approve, limit, or deny access or orders at our discretion.
2. RESEARCH-ONLY PRODUCTS; NO MEDICAL USE
2.1 Research Use Only (RUO). All products are supplied strictly for in-vitro or ex-vivo research and analytical use. Products are not for human or veterinary consumption, in vivo studies, diagnostic procedures, compounding, or medicinal use.
2.2 Regulatory Status. Unless expressly stated, products are not cleared or approved by the U.S. Food and Drug Administration (FDA) or any regulator as drugs, biologics, diagnostics, or medical devices.
2.3 No Dosing/Protocols. We do not provide dosing, administration, cycle, reconstitution, or clinical protocols. You agree not to request or rely on such information from us.
2.4 Safety & Compliance. You will handle, store, and dispose of products in accordance with good laboratory practice, Safety Data Sheets (SDS), applicable laws, and your institution’s policies. Only trained personnel may handle products.
2.5 Prohibited Uses. Without limitation, you will not: (a) administer to humans or animals; (b) use in diagnostics or clinical trials; (c) incorporate into foods, cosmetics, or finished drugs; (d) resell to consumers or to any party likely to use products contrary to these Terms; (e) use for performance enhancement, body-building, or other non-research purposes.
3. PRODUCT INFORMATION; CHANGES
3.1 We strive to describe products accurately; however, specifications, availability, and packaging may change without notice. Colors/appearance may vary by device.
3.2 COAs, SDS, lot numbers, purity, and storage conditions are provided where applicable. You are responsible for assessing suitability for your intended research application.
4. ORDERS & ACCEPTANCE
4.1 Your order is an offer to purchase. We may accept or reject any order for any reason, including RUO eligibility or risk controls. Acceptance occurs only when we charge your payment method and issue an order confirmation.
4.2 We may limit or cancel quantities; verify identity, age, or professional status; and refuse orders that, in our judgment, appear inconsistent with RUO or applicable laws.
4.3 No changes/cancellations after acceptance unless we consent in writing. Your purchases are subject to our [Refund/Returns Policy].
5. PRICES, TAXES & BILLING
5.1 Prices may change without notice. The price at checkout applies; taxes, duties, shipping/handling, customs, and import charges are extra unless stated.
5.2 You authorise us (and Shopify/our processors) to charge your selected payment method for the full order amount and any applicable repeat charges (e.g., reship fees). You represent that you are authorised to use the payment method.
5.3 We may correct pricing or billing errors; if we do, we will notify you and you may cancel before shipment.
6. SHIPPING, RISK OF LOSS & TEMPERATURE-CONTROLLED GOODS
6.1 Title and risk of loss transfer to you upon delivery to the carrier. Delivery dates are estimates only. We are not liable for carrier delays, customs holds, weather events, labour actions, or other causes beyond our control.
6.2 Certain items may require insulated/ice or other temperature-controlled packaging. You are responsible for timely receipt; we are not responsible for degradation due to delayed pickup or incorrect address.
6.3 We may restrict shipping destinations or methods (e.g., no P.O. Boxes for hazardous or temperature-sensitive goods). You must promptly report shipping damage/shortage per our Refund/Returns Policy.
7. EXPORT, SANCTIONS & LEGAL COMPLIANCE
7.1 Products and technical data may be subject to U.S. export control and sanctions laws (e.g., EAR, OFAC). You represent that you are not located in, organised in, or ordinarily resident in any embargoed or sanctioned territory, and are not a restricted party.
7.2 You will not export, re-export, transfer, or provide products or technical data in violation of U.S. or other applicable laws. We may block or cancel orders that implicate export/sanctions risks.
8. INTELLECTUAL PROPERTY
The Services and all content are owned by Elysium or its licensors and protected by law. You may not copy, modify, distribute, perform, display, create derivative works from, scrape, or reverse-engineer any portion of the Services except as expressly permitted. All trademarks, trade dress, and logos are the property of their respective owners. No rights are granted by implication or estoppel.
9. OPTIONAL TOOLS & THIRD-PARTY LINKS
Your use of third-party tools and sites is at your own risk and governed by those parties’ terms and policies. We do not control or endorse third-party content and are not responsible for it.
10. RELATIONSHIP WITH SHOPIFY
The Services are powered by Shopify, but your purchase is with Elysium. Shopify is not responsible for our sales or for any injury, damage, or loss arising from products you purchase from us. You expressly release Shopify and its affiliates from claims related to your transactions with us.
11. PRIVACY
Personal information we collect is governed by our Privacy Policy and, where applicable, Shopify’s privacy terms. By using the Services, you acknowledge those policies.
12. FEEDBACK & USER CONTENT
If you submit reviews, ideas, or other content (“Feedback”), you grant Elysium a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, and display such Feedback for any lawful purpose. You represent you have rights to the Feedback and that it contains no unlawful, infringing, or harmful content. We may moderate or remove content at our discretion.
13. PROHIBITED CONDUCT
You agree not to: (a) violate any law; (b) misuse products contrary to Section 2; (c) interfere with or disrupt the Services; (d) harvest personal data; (e) send spam, malware, or malicious code; (f) bypass security controls; (g) misrepresent your identity or affiliation; (h) use the Services for competitive intelligence or scraping; or (i) engage in conduct that, in our judgment, harms Elysium, Shopify, or others.
14. RETURNS & REFUNDS (SUMMARY)
Returns are accepted only as set out in our Refund/Returns Policy. For safety and integrity, opened, temperature-controlled, or compromised items are not returnable unless required by law.
15. TERMINATION; SUSPENSION
We may suspend or terminate your access at any time for any reason, including suspected RUO violations, fraud, or legal/compliance concerns. You remain liable for obligations accrued before termination. Sections that by their nature should survive (including Sections 2, 6–9, 11–21) will survive.
16. DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED IN A WRITTEN WARRANTY SIGNED BY ELYSIUM, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND NON-MISAPPROPRIATION. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. RESEARCH RESULTS MAY VARY; YOU ARE SOLELY RESPONSIBLE FOR VALIDATION IN YOUR APPLICATION.
17. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, ELYSIUM (AND OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, AND AFFILIATES) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE GOODS) ARISING OUT OF OR RELATING TO THE PRODUCTS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PRODUCTS OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ELYSIUM FOR THE PRODUCT(S) OR SERVICE(S) AT ISSUE IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
18. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Elysium (and our directors, officers, employees, agents, affiliates, licensors, service providers, and Shopify) from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Services or products, including any in vivo, clinical, diagnostic, or human/animal administration; (c) your violation of law or third-party rights; or (d) your negligence or misconduct. We may assume control of the defense at your expense; you will cooperate fully.
19. FORCE MAJEURE
We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, labour disputes, supply chain failures, utility interruptions, or government actions.
20. ARBITRATION & CLASS-ACTION WAIVER (U.S. CUSTOMERS)
20.1 Informal Resolution First. Before starting arbitration or a small-claims case, the complaining party must send a written Notice of Dispute describing the claim and requested relief. We’ll try to resolve it within 60 days.
20.2 Agreement to Arbitrate. If we don’t resolve the dispute, you and Elysium agree to binding individual arbitration for any claim arising out of or relating to the Services or products, except as in 20.6 and 20.7. The Federal Arbitration Act governs this Section.
20.3 Administrator & Rules. Arbitration will be administered by (choose one: AAA or JAMS) under its Consumer Arbitration Rules and Mass-Arbitration procedures (if applicable), then in effect, including any fee schedules. If the chosen administrator is unavailable, a court will select one. Hearings may occur by video or in Travis County, Texas, unless law requires otherwise. American Arbitration Association+1
20.4 Class/Representative Waiver. Claims must be brought only in your or our individual capacity—not as a class, collective, private attorney general, or representative action. The arbitrator may not consolidate claims of different persons. (This does not waive any non-waivable right to seek public injunctive relief under applicable law; see 20.7.) Justia Law
20.5 Delegation; Arbitrability. The arbitrator (not any court) shall decide all issues of arbitrability (scope, formation, enforceability) consistent with applicable law.
20.6 Small-Claims Carve-Out. Either party may bring an action in small-claims court if it qualifies.
20.7 California Public-Injunctive Relief. To the extent required by McGill v. Citibank, requests for public injunctive relief may be pursued in court (not arbitration). All individual claims for damages or private injunctive relief remain in arbitration. Justia Law
20.8 Mass-Arbitration Management. If 25 or more substantially similar demands are filed by or with the same counsel: (a) the administrator’s Mass-Arbitration procedures and fee schedules apply; (b) the parties will select up to 10 bellwether cases to proceed first; (c) remaining cases are stayed until the bellwethers conclude; (d) after good-faith mediation, unresolved cases may proceed in batches of up to 50 with the same arbitrator unless the administrator’s rules provide otherwise. 20.9 Fees & Costs. The administrator will allocate filing and case fees per its rules. The arbitrator may award fees/costs to the prevailing party to the extent permitted by law.
20.10 Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by contacting us with your name, email, and a statement that you opt out. If you opt out, 21 (Governing Law & Venue) applies.
20.11 Severability. If the class/representative waiver in 20.4 is found unenforceable for a claim, then that claim must proceed in court (not arbitration). If any other part of this Section is unenforceable, the remainder still applies.
21. GOVERNING LAW & VENUE
These Terms are governed by the laws of the State of Texas, without regard to conflicts principles. Subject to Section 20, you and Elysium consent to exclusive jurisdiction and venue in the state and federal courts located in Travis County, Texas.
22. SEVERABILITY
If any provision of these Terms is found unlawful or unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in full force.
23. WAIVER; ENTIRE AGREEMENT
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. These Terms, plus policies referenced (including the Privacy Policy and Refund/Returns Policy), constitute the entire agreement between you and Elysium and supersede prior agreements on the subject.
24. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
25. ELECTRONIC COMMUNICATIONS; NOTICES
You consent to receive communications electronically (email, site notices).
26. CHANGES TO THE SERVICES OR TERMS
We may modify the Services and these Terms at any time. We’ll post updated Terms with the “Last updated” date. Material changes will be notified as required by law and become effective on the stated date. Continued use after changes means you accept the updated Terms.
